De multe ori o idee sau planul de business ori se disipeaza ori devine caduc pana iti aduni energia sa treci la actiune sau pana obtii toate aprobarile de care ai nevoie sa actionezi.<\/p>\n<p>Voi vorbi in numele profesiei mele, cea de avocat. Asa cum spun si in prezentarea personala, profesez de aproape 30 de ani in avocatura de business si de real estate. Am putut sa experimentez reglementarile legale din sectorul business (comert, industrie, investitii, dezvoltari real estate etc) si am vazut cum lucrurile s-au complicat de-a lungul anilor fapt ce a condus finalmente la blocajele sau dificultatile pe care le intampina antreprenorii in prezent.<\/p>\n<p>Cu ani in urma, impreuna cu colegii mei, am procedat la o discutie complexa asupra legislatiei din acel moment, ce nu functioneaza, ce este prea impovarator si totodata inutil si care ar putea fi solutiile pe care Romania sa le adopte pentru a asigura dezvoltarea durabila a tarii. Brainstormingul nostru a dezvaluit ca exista metode de simplificare fezabile si ca este nevoie doar de oameni cu energie si dedicare sa le puna in practica. Spatiul antrprenorial este motorul economiei, iar economia asigura functionarea unui stat (sau iesirea sa din modul de avarie daca se ajunge acolo din cauza conjuncturilor internationale).<\/p>\n<p>Echipa noastra de brainstorming (ad-hoc) a conchis la acea vreme ca modalitatea de a simplifica legisla\u021bia este emiterea unei \u201elegi-umbrel\u0103\u201d care s\u0103 instituie noul sistem de autorizare, s\u0103 stabileasc\u0103 noile proceduri \u0219i s\u0103 stipuleze c\u0103 toate reglement\u0103rile de orice fel care contrazic noua lege sunt, prin urmare, abrogate.<\/p>\n<p>Ordonanta de urgenta 140\/2022 este primul pas spre rezolvarea blocajelor, prin acest act normative reglementadu-se licen\u0163a industrial\u0103 unic\u0103. O parte din <strong>logica administrativ\u0103 \u0219i strategia de simplificare institu\u021bional\u0103<\/strong> care stau la baza <strong>licen\u021bei industriale unice<\/strong> au fost conturate \u00een <strong>proiecte profesionale desf\u0103\u0219urate \u00een colaborare cu structuri europene<\/strong>, \u00een contexte supuse <strong>obliga\u021biilor de confiden\u021bialitate<\/strong>, dar av\u00e2nd exact scopul reflectat ast\u0103zi \u00een legisla\u021bie: <strong>reducerea birocra\u021biei \u0219i crearea unui cadru predictibil pentru investi\u021biile industriale<\/strong>.<\/p>\n<p><strong>Licen\u021ba industrial\u0103 unic\u0103 (OUG nr. 140\/2022) \u2013 cadru legal esen\u021bial pentru industrie \u0219i investi\u021bii<\/strong><\/p>\n<p><strong>\ud83d\udd39<\/strong><strong> Ce este licen\u021ba industrial\u0103 unic\u0103?<\/strong><\/p>\n<p><strong>Licen\u021ba industrial\u0103 unic\u0103<\/strong> este un <strong>act administrativ unic<\/strong>, reglementat prin <strong>OUG nr. 140\/2022<\/strong>, care <strong>integreaz\u0103 \u00eentr-o singur\u0103 procedur\u0103<\/strong>:<\/p>\n<ul>\n<li><strong>autoriza\u021bii industriale<\/strong>,<\/li>\n<li><strong>avize \u0219i acorduri administrative<\/strong>,<\/li>\n<li><strong>permise legale sectoriale<\/strong>,<\/li>\n<\/ul>\n<p>necesare pentru <strong>desf\u0103\u0219urarea activit\u0103\u021bilor industriale<\/strong> \u00een Rom\u00e2nia.<\/p>\n<p>\ud83d\udc49 <strong>Un singur dosar. Un singur flux procedural. Un singur interlocutor administrativ.<\/strong><\/p>\n<p><strong>\ud83d\udd39<\/strong><strong> Scopul strategic al reglement\u0103rii<\/strong><\/p>\n<p>Actul normativ urm\u0103re\u0219te \u00een mod expres:<\/p>\n<ul>\n<li><strong>simplificarea autoriz\u0103rii activit\u0103\u021bilor industriale<\/strong>;<\/li>\n<li><strong>reducerea termenelor administrative<\/strong>;<\/li>\n<li><strong>eliminarea barierelor birocratice<\/strong>;<\/li>\n<li><strong>digitalizarea rela\u021biei dintre investitori \u0219i autorit\u0103\u021bi<\/strong>;<\/li>\n<li><strong>cre\u0219terea predictibilit\u0103\u021bii juridice pentru mediul de afaceri<\/strong>.<\/li>\n<\/ul>\n<p>Este o <strong>reform\u0103 structural\u0103 a administra\u021biei publice care deserve\u0219te industria<\/strong>, cu impact direct asupra <strong>investi\u021biilor private \u0219i fondurilor europene<\/strong>.<\/p>\n<p><strong>\ud83d\udd39<\/strong><strong> Oficiul pentru Licen\u021b\u0103 Industrial\u0103 \u2013 rol extins \u0219i consolidat<\/strong><\/p>\n<p><strong>Oficiul pentru Licen\u021b\u0103 Industrial\u0103<\/strong> este autoritatea central\u0103 care:<\/p>\n<ul>\n<li><strong>acord\u0103, modific\u0103, re\u00eennoie\u0219te \u0219i retrage licen\u021ba industrial\u0103 unic\u0103<\/strong>;<\/li>\n<li>coordoneaz\u0103 <strong>toate autorit\u0103\u021bile competente implicate<\/strong>;<\/li>\n<li><strong>simplific\u0103 \u0219i standardizeaz\u0103 procedurile administrative<\/strong>;<\/li>\n<li>exercit\u0103, prin modific\u0103rile ulterioare ale OUG nr. 140\/2022, <strong>func\u021bia de \u201eghi\u015feu unic\u201d<\/strong>.<\/li>\n<\/ul>\n<p>\ud83d\udd39 <strong>Noutate esen\u021bial\u0103<\/strong>: Oficiul \u00eendepline\u0219te oficial func\u021bia de <strong>\u201eghi\u015feu unic\u201d pentru activit\u0103\u021bile de prelucrare \u0219i reciclare a materiilor prime critice<\/strong>, \u00een conformitate cu <strong>Regulamentul (UE) 2024\/1252<\/strong>.<\/p>\n<p><strong>\ud83d\udd39<\/strong><strong> Punctul de Contact Unic Electronic (PCUEL) \u2013 procedur\u0103 100% digital\u0103<\/strong><\/p>\n<p>\u00centregul proces se desf\u0103\u0219oar\u0103 prin <strong>Punctul de Contact Unic Electronic (PCUEL)<\/strong>, care:<\/p>\n<ul>\n<li>permite <strong>depunerea documentelor o singur\u0103 dat\u0103<\/strong>;<\/li>\n<li>asigur\u0103 <strong>comunicare exclusiv electronic\u0103<\/strong>;<\/li>\n<li>integreaz\u0103 <strong>sistemele informatice ale autorit\u0103\u021bilor<\/strong>;<\/li>\n<li>include un <strong>simulator al licen\u021bei industriale unice<\/strong> (documente, termene, tarife).<\/li>\n<\/ul>\n<p>\u2705 Se aplic\u0103 principiul <strong>\u201eo singur\u0103 dat\u0103\u201d<\/strong> \u0219i <strong>interoperabilitatea administrativ\u0103<\/strong>.<\/p>\n<p>\ud83d\udd39 <strong>Actualizare legislativ\u0103 important\u0103<\/strong>: PCUEL asigur\u0103 \u0219i <strong>func\u021bia prev\u0103zut\u0103 de Regulamentul (UE) 2024\/1252<\/strong> pentru <strong>proiectele strategice privind materiile prime critice<\/strong>.<\/p>\n<p><strong>\ud83d\udd39<\/strong><strong> Regim special pentru proiecte strategice \u2013 materii prime critice<\/strong><\/p>\n<p>Pentru <strong>activit\u0103\u021bile de prelucrare \u0219i\/sau reciclare a materiilor prime critice<\/strong>, legisla\u021bia introduce <strong>termene \u0219i reguli distincte<\/strong>, favorabile investi\u021biilor strategice:<\/p>\n<ul>\n<li><strong>45 de zile<\/strong> pentru confirmarea valabilit\u0103\u021bii cererii de licen\u021b\u0103 industrial\u0103 unic\u0103;<\/li>\n<li><strong>maximum 15 luni<\/strong> pentru solu\u021bionarea cererii (cu posibilitate de prelungire de <strong>3 luni<\/strong> \u00een caz de autoriza\u021bie integrat\u0103 de mediu);<\/li>\n<li><strong>maximum 12 luni<\/strong> \u00een cazul <strong>extinderii unui proiect strategic existent<\/strong>;<\/li>\n<li><strong>excluderea duratei evalu\u0103rii impactului asupra mediului<\/strong> din calculul termenelor.<\/li>\n<\/ul>\n<p>\u27a1\ufe0f Un regim juridic clar, aliniat legisla\u021biei europene privind <strong>securitatea lan\u021burilor de aprovizionare<\/strong>.<\/p>\n<p><strong>\ud83d\udd39<\/strong><strong> Termene clare, aprobare tacit\u0103 \u0219i eliminarea controalelor duble<\/strong><\/p>\n<p>Pentru toate celelalte activit\u0103\u021bi industriale:<\/p>\n<ul>\n<li>exist\u0103 <strong>termene maxime de solu\u021bionare<\/strong>;<\/li>\n<li><strong>documenta\u021bia incomplet\u0103<\/strong> se poate completa \u00eentr-un termen de <strong>maximum 15 zile<\/strong>;<\/li>\n<li>termenele sunt <strong>suspendate pe durata complet\u0103rilor<\/strong>, evit\u00e2nd respingeri formale;<\/li>\n<li>\u00een anumite condi\u021bii, se aplic\u0103 <strong>aprobarea tacit\u0103 a licen\u021bei<\/strong>;<\/li>\n<li>este <strong>interzis\u0103 dublarea controalelor \u0219i cerin\u021belor administrative<\/strong>.<\/li>\n<\/ul>\n<p><strong>\ud83d\udd39<\/strong><strong> De ce este esen\u021bial rolul avocatului \u00een acest mecanism<\/strong><\/p>\n<p>De\u0219i cadrul este <strong>simplificat legislativ<\/strong>, mecanismul r\u0103m\u00e2ne <strong>juridic sofisticat<\/strong>:<\/p>\n<ul>\n<li>\u00eencadrarea gre\u0219it\u0103 a activit\u0103\u021bii sau a riscului;<\/li>\n<li>erori \u00een documenta\u021bie;<\/li>\n<li>interpret\u0103ri divergente \u00eentre autorit\u0103\u021bi;<\/li>\n<li>refuzuri administrative nelegale sau nejustificate.<\/li>\n<\/ul>\n<p>Un avocat specializat \u00een: <strong>drept administrativ<\/strong>, <strong>investi\u021bii industriale<\/strong>, <strong>licen\u021be \u0219i autoriza\u021bii<\/strong>, <strong>rela\u021bia cu autorit\u0103\u021bile publice<\/strong> este un <strong>factor esen\u021bial de accelerare \u0219i protec\u021bie juridic\u0103<\/strong>.<\/p>\n<p><strong>\u2705<\/strong><strong> Concluzie <\/strong><\/p>\n<p><strong>Licen\u021ba industrial\u0103 unic\u0103 (OUG nr. 140\/2022)<\/strong> reprezint\u0103:<\/p>\n<ul>\n<li><strong>debirocratizare real\u0103<\/strong>,<\/li>\n<li><strong>digitalizare administrativ\u0103 complet\u0103<\/strong>,<\/li>\n<li><strong>aliniere la legisla\u021bia european\u0103<\/strong>,<\/li>\n<li><strong>sus\u021binerea investi\u021biilor industriale strategice<\/strong>,<\/li>\n<li><strong>reorganizarea administra\u021biei \u00een sprijinul economiei reale<\/strong>.<\/li>\n<\/ul>\n<p>Reprezinta un cadru <strong>modern, european \u0219i orientat spre investi\u021bii<\/strong>, care func\u021bioneaz\u0103 eficient atunci c\u00e2nd este <strong>\u00een\u021beles, accesat \u0219i gestionat strategic<\/strong>:<\/p>\n<ul>\n<li>Prin stabilirea unor politici clare privind <strong>aprobarea tacit\u0103<\/strong> (t\u0103cerea \u00eenseamn\u0103 consim\u021b\u0103m\u00e2nt), care s\u0103 sporeasc\u0103 responsabilitatea institu\u021biilor publice \u0219i calitatea serviciilor,<\/li>\n<li>prin adoptarea <strong>principiului \u201eo singur\u0103 dat\u0103\u201d<\/strong>, care garanteaz\u0103 dreptul investitorilor de a furniza acelea\u0219i informa\u021bii sau documente institu\u021biilor publice o singur\u0103 dat\u0103 \u0219i, \u00een schimb, obliga\u021bia institu\u021biilor publice de a partaja aceste informa\u021bii cu alte institu\u021bii publice care au nevoie de ele,<\/li>\n<li>prin e<strong>liminarea controalelor \u0219i cerin\u021belor duble privind licen\u021bierea industrial\u0103 \u0219i de produc\u021bie<\/strong>, cum ar fi cerin\u021bele de a efectua proceduri similare \u00een mai multe instan\u021be publice (<em>de exemplu<\/em>, la nivel na\u021bional \u0219i la nivel local),<\/li>\n<li>prin e<strong>liminarea practicilor de acordare a licen\u021belor<\/strong> care nu aduc o valoare ad\u0103ugat\u0103 semnificativ\u0103 interesului public \u0219i care impun sarcini excesive investitorilor, cum ar fi cerin\u021bele de re\u00eennoire periodic\u0103 a licen\u021belor sau de ob\u021binere a unor \u0219tampile care au doar un caracter birocratic,<\/li>\n<li>prin crearea unei taxonomii a licen\u021belor industriale care s\u0103 permit\u0103 publicului larg o mai bun\u0103 \u00een\u021belegere a sensului \u0219i scopului procedurilor de acordare a licen\u021belor si simplificarea procedurilor de obtinere a acestora mediul antreprenorial si ca urmare economia tarii poate fi redresata organic.<\/li>\n<\/ul>\n<p>Cu deosebita placere am observat ca de atunci (probabil cu 6-7 ani in urma) Romania, sub supravegherea si instruirea institutiilor europene, a facut pasi spre acest progress, insa este nevoie de o accelerare a ritmului de implementare tinand cont de trendurile europene si de contextul international.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Cu
