Clauza de neconcurenta este reglementata in ceea ce priveste raporturile de munca de Codul Muncii.<\/p>\n\n\n\n<p>In general, scopul de baza al acestei reglementari este de mijloc de protectie. Intentia legii este de a proteja persoana care dezvaluie informatii sensibile fata de o alta persoana cu care se afla in raporturi de subordonare si in final de a asigura un echilibru relational, atat in raporturile de munca sau de afaceri, cat si fata de salariat care isi asuma o obligatie suplimentara acceptand responsabilitatea job-ului.<\/p>\n\n\n\n<p>Stabilirea unei astfel de clauze este importanta pentru societati atunci cand salariatul ocupa o pozitie cheie in structura societatii si prin prisma acestui fapt are acces la informatii sensibile, confidentiale ale societatii care i-ar permite in viitor concurarea afacerii fostului angajator, speculand informatiile obtinute ca salariat. De asemenea, este importanta o astfel de clauza cand afacerea angajatorului se bazeaza pe practicarea unei mesarii sau profesii de catre salariat care, avand acces si la informatiile sensibile ale angajatorului (spre exemplu: baza de date de clienti, furnizori, politica de preturi, strategii de vanzari etc), poate dezvolta o afacere similara avand avantajul informatiilor obtinute ca angajat al societatii.<\/p>\n\n\n\n<p><strong>Cand se poate incheia clauza de neconcurenta?<\/strong><\/p>\n\n\n\n<p>Clauza de neconcurenta se poate negocia si semna atat la incheierea contractului de munca, cat si in timpul executarii sale.<\/p>\n\n\n\n<p>Clauza de neconcurenta impune salariatului ca dup\u0103 \u00eencetarea contractului s\u0103 nu presteze, \u00een interes propriu sau al unui ter\u0163, o activitate care se afl\u0103 \u00een concuren\u0163\u0103 cu cea prestat\u0103 la angajatorul s\u0103u, \u00een schimbul unei indemniza\u0163ii de neconcuren\u0163\u0103 lunare pe care angajatorul se oblig\u0103 s\u0103 o pl\u0103teasc\u0103 pe toat\u0103 perioada de neconcuren\u0163\u0103.<\/p>\n\n\n\n<p><strong>Ce contine clauza de neconcurenta?<\/strong><\/p>\n\n\n\n<p>Clauza de neconcuren\u0163\u0103 \u00ee\u015fi produce efectele numai dac\u0103 \u00een cuprinsul contractului individual de munc\u0103 sunt prev\u0103zute \u00een mod concret:<\/p>\n\n\n\n<p>&#8211; &nbsp;activit\u0103\u0163ile ce sunt interzise salariatului la data \u00eencet\u0103rii contractului,<\/p>\n\n\n\n<p>&#8211; cuantumul indemniza\u0163iei de neconcuren\u0163\u0103 lunare,<\/p>\n\n\n\n<p>&#8211; perioada pentru care \u00ee\u015fi produce efectele clauza de neconcuren\u0163\u0103,<\/p>\n\n\n\n<p>&#8211; ter\u0163ii \u00een favoarea c\u0103rora se interzice prestarea activit\u0103\u0163ii,<\/p>\n\n\n\n<p>&#8211; aria geografic\u0103 unde salariatul poate fi \u00een real\u0103 competi\u0163ie cu angajatorul.<\/p>\n\n\n\n<p>Indemniza\u0163ia de neconcuren\u0163\u0103 lunar\u0103 datorat\u0103 salariatului nu este de natur\u0103 salarial\u0103, se negociaz\u0103 \u015fi este de cel pu\u0163in 50% din media veniturilor salariale brute ale salariatului din ultimele 6 luni anterioare datei \u00eencet\u0103rii contractului individual de munc\u0103 sau, \u00een cazul \u00een care durata contractului individual de munc\u0103 a fost mai mic\u0103 de 6 luni, din media veniturilor salariale lunare brute cuvenite acestuia pe durata contractului.<\/p>\n\n\n\n<p>Indemniza\u0163ia de neconcuren\u0163\u0103 reprezint\u0103 o cheltuial\u0103 efectuat\u0103 de angajator, este deductibil\u0103 la calculul profitului impozabil \u015fi se impoziteaz\u0103 la persoana fizic\u0103 beneficiar\u0103, potrivit legii.<\/p>\n\n\n\n<p>Clauza de neconcuren\u0163\u0103 \u00ee\u015fi poate produce efectele pentru o perioad\u0103 de maximum 2 ani de la data \u00eencet\u0103rii contractului individual de munc\u0103.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Aceasta reprezinta o intelegere scrisa intre societate si salariat, prin care acesta din urma se obliga sa nu intreprinda acte sau fapte de concurenta fata de societate, dupa incetarea contractului de munca cu societatea.
