diligence<\/strong><\/p><p>Dreptul de proprietate in Romania este reglementat in principal prin Constitutie, Codul civil si alte acte normative specifice.<\/p><p>De-a lungul timpului, au existat diverse modificari ale legislatiei care reglementeaza modul de dobandire a proprietatii imobiliare, actele in baza carora se efectua transferul dreptului de proprietate, forma acestora, precum si conditiile de dobandire a unor proprietati imobiliare. De asemenea, odata cu avansarea tehnologiei, mijloacele de determinare a suprafetelor de teren sau a constructiilor au devenit mult mai precise; acesta este un fapt pozitiv insa nu lipsit de efecte nedorite in multe situatii, asa cum sunt diferentele de suprafata de teren rezultate ca urmare a efectuarii masuratorilor cu mijloace tehnice mult mai exacte.<\/p><p>Aceste lucruri sunt relevante ca observatie cu titlu general in ceea ce priveste importanta consientizarii preventiei atunci cand se doreste achizitionarea unor imobile.<\/p><p><strong>Due Diligence<\/strong><\/p><p>Se refer\u0103 la procedurile considerate absolut necesare \u00een vederea achizi\u021bion\u0103rii \u00een siguran\u021b\u0103 a unei propriet\u0103\u021bi \u00een Rom\u00e2nia. Recomand\u0103m cet\u0103\u021benilor rom\u00e2ni, precum \u0219i persoanelor str\u0103ine, s\u0103 efectueze procedurile de due diligence la achizi\u021bionarea oric\u0103rui tip de proprietate imobiliar\u0103 din aceast\u0103 \u021bar\u0103 (industrial\u0103, reziden\u021bial\u0103, comercial\u0103) \u0219i s\u0103 solicite consiliere juridic\u0103 privind contractul de v\u00e2nzare.<\/p><p>Cel mai diligent lucru pe care il poate face cineva atunci cand doreste sa achizitioneze un imobil este sa faca o verificare a situatiei juridice a acelui imobil. Aceasta verificare legala prealabila se numeste, destul de intuitiv, \u201cdue diligence\u201d. Este o verificare binevenita atat asupra situatiei juridice a constructiilor, cat si a terenurilor deoarece poate scoate la iveala aspecte care sa impiedice cumpararea imobilului sau atingerea de catre cumparator a scopului dorit cu privire la acel imobil. In orice caz, o clarificare a situatiei juridice a imobilului tranzactionat duce la o negociere in cunostinta de cauza ceea ce reduce riscul tranzactiei propriu-zise si probabilitatea unor litigii ulterioare.<\/p><p>Cel mai \u201efaimos\u201d exemplu de acest tip este chiar modul in care statul roman a tinut evidenta imobilelor. Pana la aparitia Legii nr.7\/1996 cartile funciare nu existau decat in Transilvania si Bucovina (regiunile care au apartinut fostului Imperiu Austro-Ungar) asa incat in restul tarii un istoric complet al unui imobil (cine l-a detinut, cu ce titlu, daca a fost sau nu afectat de servituti etc.) este foarte dificil de obtinut. Pe de alta parte, tocmai datorita vechimii acestui sistem, in regiunile respective masuratorile cadastrale, in special in zonele rurale, sunt de multe foarte vechi, realizate cu mijloacele tehnice existente la inceputul secolului XX (uneori chiar in secolului XIX) si ca atare destul de imprecise.<\/p><p>Operatiunea de due diligence, ca orice verificare, este cu atat mai utila cu cat este mai completa; in forma sa de baza, consta in primul rand in verificarea actelor de proprietate ale vanzatorului, prin aceasta fiind analizate si comparate cu informatii de actualitate, detaliile cele mai importante din cuprinsul actelor de proprietate.<\/p><p>Din analiza actelor de proprietate avocatii care efectueaza verificarea pot deduce daca anumite aspecte ridica intrebari si se impune efectuarea unor cercetari suplimentare ale altor acte, adiacente celor de proprietate.<\/p><p>Un alt aspect care ar trebui supus verificarilor este existenta sau inexistenta unor litigii care ar putea afecta dreptul de proprietate insusi sau dezmembramintele acestuia (spre exemplu, existenta un litigiu cu privire la imobil si care ar putea limita dreptul de folosinta al acestuia).<\/p><p>In orice caz, verificarile trebuie sa includa toate acele aspecte care sunt relevante pentru potentialul cumparator si in acest sens o comunicare buna (adica sincera si completa) intre client si avocat este esentiala. Clientul trebuie sa explice avocatului cat mai detaliat care este scopul urmarit prin achizitionarea imobilului, iar avocatul trebuie sa comunice clientului ce verificari se impun pentru a afla daca imobilul vizat corespunde scopului.<\/p><p><strong>Litigii imobiliare<\/strong><\/p><p>Suntem specializati in litigii imobiliare complexe. Aceste riscuri pot proveni din istoricul unei prorietati imobiliare, din modul in care a fost condusa activitatea unei companii implicata in procesul de fuziune\/achizitie, in esenta din orice situatie juridica anterioara tranzactiei care se doreste a fi incheiata ulterior procesului de due diligence.<\/p><p><strong>De ce este due diligence important?<\/strong><\/p><p>De multe ori riscurile preluate prin incheierea unor tranzactii pot fi mai costisitoare decat tranzactia in sine.<\/p><p>De aceea, atragem atentia asupra faptului ca o tranzactie cu istoric, oricat de simpla ar parea la prima vedere, poate ascunde riscuri asupra carora nici partile implicate sa nu fie constiente!<\/p><p>Atitudinea preventiva, diligenta poate scuti partile de litigii nedorite, consecinte financiare neplacute sau chiar efecte care pot fi mai grave mergand de la pierderi financiare pana la intrarea in stare de insolventa.<\/p><p>Care sunt tipurile de due diligence? Cum se realizeaza due diligence?<\/p><p><strong>Serviciul de due diligence poate fi restrans sau extins.<\/strong><\/p><p>Angajarea asistentei juridice pentru efectuarea due diligence este decisa de avocat si client pe baza unui diagnostic prealabil furnizat cleintului de catre avocat. Daca in urma analizei prealabile a cazului avocatul considera ca tranzactia poate presupune asumarea unor riscuri de catre client, va comunica acestuia ca due diligence este utila si chiar necesara pentru protectia patrimoniului sau si ii va sugera acestuia mai multe metode de verificare. Clientul va fi cel care va decide asupra amplorii verificarii due diligence.<\/p><p>Due diligence este un proces lung care implic\u0103 mai multe parti \u0219i faze.
